Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Revv CRM website (tryrevvcrm.com) and application (together, the "Service"), operated by Imperfect Livestream Agency LLC ("Revv CRM," "we," "us," or "our"). By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you are agreeing on behalf of an organization, you represent that you have authority to bind that organization.

1. The Service

Revv CRM is a customer relationship management platform for outbound sales teams, including calling, two-way texting, email and calendar sync, pipeline management, and related features. We may add, change, or remove features from time to time.

2. Accounts

You must provide accurate information when creating an account and keep your login credentials confidential. You are responsible for all activity that occurs under your account. Notify us immediately of any unauthorized use.

3. Subscriptions and Billing

Paid plans are billed on a per-seat, recurring basis through our payment processor, Stripe, at the rates displayed at signup or in your workspace's billing settings. By subscribing, you authorize us to charge your payment method on file for recurring fees.

Usage-based charges. Calling and texting are billed against a prepaid usage balance at cost plus a service markup. When your balance falls below a threshold, we will automatically charge your payment method on file to top it up, up to the monthly spending limit you configure. You can adjust your spending limit or view itemized usage history at any time in your workspace's billing settings. If an automatic charge fails, we may pause outbound calling and texting for your workspace until a valid payment method is provided; inbound calls and texts are not affected.

Fees are non-refundable except as required by law or as we expressly state otherwise. We may change our pricing with advance notice; continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.

4. Your Data

You (or your organization) retain ownership of the customer, contact, communications, and other business data you submit to the Service ("Customer Data"). You grant us a license to host, process, and transmit Customer Data solely to provide the Service to you. You are responsible for ensuring you have the necessary rights and consents to submit Customer Data to the Service, including any contact information you upload or communicate with through calling, texting, or connected email/calendar features.

5. Third-Party Integrations

The Service integrates with third-party providers, including Google (for Gmail and Calendar sync), Twilio (for calling and SMS), and Stripe (for payments). Your use of those integrations is also subject to the applicable third party's own terms and policies. We are not responsible for the acts or omissions of third-party providers.

6. Acceptable Use

You agree not to use the Service to:

• Send unsolicited communications in violation of applicable law (including TCPA, CAN-SPAM, or similar telemarketing/messaging laws);
• Upload or transmit unlawful, infringing, or harmful content;
• Attempt to gain unauthorized access to the Service or other users' data;
• Reverse engineer, resell, or use the Service to build a competing product, except as permitted by applicable open-source licenses governing underlying components;
• Use the Service in a manner that violates any applicable law or regulation.

7. Intellectual Property

We and our licensors retain all right, title, and interest in and to the Service, excluding Customer Data. Certain underlying software components are derived from open-source projects and remain subject to their respective open-source licenses.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Termination

You may cancel your subscription at any time from your billing settings. We may suspend or terminate your access to the Service if you materially breach these Terms, fail to pay applicable fees, or if we reasonably believe your use poses a risk to us or other users. Upon termination, your right to use the Service ends, though certain provisions of these Terms (including Sections 8, 9, and 11) survive.

11. Governing Law

These Terms are governed by the laws of the United States and the state in which Imperfect Livestream Agency LLC is organized, without regard to conflict-of-law principles, unless otherwise required by applicable mandatory law.

12. Changes to These Terms

We may modify these Terms from time to time. We will post the updated Terms on this page with a revised "Last updated" date, and, for material changes, provide additional notice as appropriate. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
